Terms of Service

These Terms of Service ("Terms") govern your use of esigned by artygroup ("the App", "we", "us", "our"). By installing or using the App, you agree to these Terms.

1. Acceptance of Terms

By installing esigned from the Shopify App Store, you ("Merchant", "you") agree to be bound by these Terms. If you do not agree, do not install or use the App.

2. Description of Service

esigned provides:

• Electronic waiver and agreement document management
• Customer electronic signature capture
• Integration with Shopify products, orders, and customers
• Signed document storage and retrieval
• Theme app blocks for storefront integration

3. Merchant Responsibilities

You agree to:

• Provide accurate account and contact information
• Ensure your waiver content is legal and appropriate
• Obtain necessary legal advice regarding waiver enforceability
• Comply with all applicable laws and regulations
• Not use the App for illegal purposes
• Maintain the confidentiality of your account

4. Electronic Signatures

The App facilitates electronic signatures in compliance with:

• U.S. Electronic Signatures in Global and National Commerce Act (E-SIGN)
• Uniform Electronic Transactions Act (UETA)
• EU eIDAS Regulation (for applicable use cases)

Enforceability of electronic signatures may vary by jurisdiction and document type. We capture audit trail data (timestamps, IP addresses, consent records) to support signature validity.

5. Intellectual Property

Our IP: The App, including its code, design, and documentation, remains our property. You receive a limited license to use the App while subscribed.

Your Content: You retain ownership of your waiver documents and business data. You grant us a license to process this content as necessary to provide the service.

6. Prohibited Uses

You may not:

• Reverse engineer, decompile, or disassemble the App
• Use the App to collect signatures for illegal purposes
• Attempt to gain unauthorized access to our systems
• Use the App to harass, spam, or deceive others
• Resell or redistribute the App without authorization
• Upload malicious content or code

7. Pricing and Payment

Pricing is as displayed in the Shopify App Store. We reserve the right to modify pricing with 30 days notice. Payments are processed through Shopify's billing system.

8. Data and Privacy

Our collection and use of data is governed by our Privacy Policy.

9. Service Availability

We strive for 99.9% uptime but do not guarantee uninterrupted service. We may perform maintenance with reasonable notice. We are not liable for downtime caused by:

• Shopify platform issues
• Internet connectivity problems
• Force majeure events
• Scheduled maintenance

10. Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW:

• THE APP IS PROVIDED "AS IS" WITHOUT WARRANTIES OF ANY KIND
• WE ARE NOT LIABLE FOR INDIRECT, INCIDENTAL, OR CONSEQUENTIAL DAMAGES
• OUR TOTAL LIABILITY IS LIMITED TO THE FEES PAID IN THE PAST 12 MONTHS
• WE DO NOT GUARANTEE THE LEGAL ENFORCEABILITY OF ANY WAIVER

11. Indemnification

You agree to indemnify and hold us harmless from claims arising from:

• Your use of the App
• Your waiver content
• Violation of these Terms
• Violation of any third-party rights

12. Termination

Either party may terminate at any time:

• By you: Uninstall the App from your Shopify store
• By us: For violation of these Terms, with notice when possible

Upon termination, your access to signed documents will end. We recommend exporting your data before uninstalling.

13. Modifications

We may modify these Terms at any time. Material changes will be communicated via email or in-app notification at least 30 days in advance. Continued use after changes constitutes acceptance.

14. Governing Law

These Terms are governed by the laws of the State of California, United States. Disputes shall be resolved in the state or federal courts located in Los Angeles County, California.

15. Severability

If any provision is found unenforceable, the remaining provisions continue in effect.

16. Entire Agreement

These Terms, together with the Privacy Policy, constitute the entire agreement between you and artygroup.
